RIK provides its products, services and Website (referred to collectively as the “Services” in this document and excluding any services provided to You by RIK under a separate written agreement) to You subject to the following Terms of Service ("Terms"). The terms "You" and "Your" as used herein refer to all individuals and/or entities accessing this Website for any reason.

RIK may revise these Terms at any time by posting an updated version to this Website. You should visit this Website periodically to review the most current Terms because they are binding on You.

The Terms form a legally binding agreement between You and RIK in relation to Your use of the Services.  Please review the Terms carefully. NO PROFESSIONAL ADVICE

The Site is offered as a service to pet owners, veterinarians and other animal service providers. Any health-related information supplied through the Site or by any employee or agent of RIK, whether on this Website, via telephone, e-mail, letter, facsimile, or other form of communication, is not intended to be a substitute for professional medical advice, diagnosis or treatment, and it is important that You not make medical decisions without first consulting a licensed veterinarian. You should never disregard professional medical advice or delay in seeking such advice because of something You have read on this Website. IF YOU HAVE A MEDICAL EMERGENCY OR NEED IMMEDIATE MEDICAL TREATMENT FOR YOUR PET, PLEASE CONSULT AN ANIMAL HOSPITAL OR EMERGENCY VETERINARY FACILITY IMMEDIATELY.

RIK PRIVACY POLICY

Registration Data and certain other information about You are subject to our Privacy Policy. For more information, see our full privacy policy by clicking on the Privacy link on the home page of our web site. You understand that through Your use of the Service You consent to the collection and use (as set forth in the Privacy Policy) of this information, including the transfer of this information to the United States and/or other countries for storage, processing and use by RIK and its affiliates.  All information You submit will be used in accordance with this Privacy Policy.

You understand that the technical processing and transmission of the Service may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

You understand that the Service and software embodied within the Service may include security components that permit digital materials to be protected, and that use of these materials is subject to usage rules set by RIK and/or content providers who provide content to the Service. You may not attempt to override or circumvent any of the usage rules embedded into the Service. Any unauthorized reproduction, publication, further distribution or public exhibition of the materials provided on the Service, in whole or in part, is strictly prohibited.

MEMBER ACCOUNT, PASSWORD AND SECURITY

You will choose a password and user name (or they will be assigned to You) upon completing the Service's registration process. You are responsible for maintaining the confidentiality of the password and user name (collectively “the Account”) and logging out of Your Account at the end of each session.  Accordingly, You agree that You will be solely responsible for all activities that occur under Your Account. If You become aware of any unauthorized use of Your Account, You agree to immediately notify RIK of any unauthorized use or any other breach of security at Support@K9EyeScan.com, RIK will not be liable for any loss or damage arising from Your failure to comply with this Section.

INTERSTATE NATURE OF COMMUNICATIONS ON RIK NETWORK

When You register with RIK, You acknowledge that in using our Services (including but not limited to K9 EyeScanSM, email, search queries, and other Internet activities), You will be causing communications to be sent through RIK’s computer networks, portions of which are located in California, other locations in the United States and portions of which are located abroad. As a result, and also as a result of RIK's network architecture and business practices and the nature of electronic communications, even communications that seem to be intrastate in nature can result in the transmission of interstate communications regardless of where You are physically located at the time of transmission. Accordingly, by agreeing to this Terms of Service, You acknowledge that use of the Service results in interstate data transmissions.

K9 EyeScanSM, including any related Services, will allow You to communicate with RIK and to save all content of such communications in Your RIK Account located on RIK servers. This means that You can access the Services from any computer with access to the Internet. Your agreement to these Terms constitutes Your consent to allow RIK to store these communications on our servers. From time to time RIK may send You notices through e-mail. Such messages may not be received if You violate these Terms by accessing the Service in an unauthorized manner. Your agreement to these Terms constitutes Your agreement that You are deemed to have received any and all notices that would have been delivered had You accessed the Service in an authorized manner.

SPECIAL ADMONITIONS FOR INTERNATIONAL USE

Recognizing the global nature of the Internet, You agree to comply with all local rules regarding online conduct and acceptable content. Specifically, You agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which You reside.

CONTENT SUBMITTED OR MADE AVAILABLE FOR INCLUSION ON THE SERVICE

"Publicly accessible" areas of the Service are those areas of the RIK network of properties that are intended by RIK to be available to the general public. By way of example, publicly accessible areas of the Service would include our www.K9EyeScan.com web site. However, publicly accessible areas of the Service would not include portions of our web sites that are limited to members or areas off of the RIK network of properties such as portions of World Wide Web sites that are accessible via hypertext or other links but are not hosted or served by RIK.

CONTRIBUTIONS TO RIK

By submitting ideas, suggestions, documents, and/or proposals ("Contributions") to RIK through its suggestion, feedback or contact web pages, You acknowledge and agree to grant to RIK, a perpetual, royalty-free, non-exclusive, sub-licensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, play, make available to the public, and exercise all copyright and publicity rights with respect to Your contribution worldwide and/or to incorporate Your contribution in other works in any media now known or later developed for the full term of any rights that may exist in Your contribution, and in accordance with privacy restrictions set out in RIK’s Privacy Policy.

You also affirm that: (a) Your Contributions do not contain confidential or proprietary information; (b) RIK is not under any obligation of confidentiality, express or implied, with respect to the Contributions; (c) RIK shall be entitled to use or disclose (or choose not to use or disclose) such Contributions for any purpose, in any way, in any media worldwide; (d) RIK may have something similar to the Contributions already under consideration or in development; (e) Your Contributions automatically become the property of RIK without any obligation of RIK to You; and (f) You are not entitled to any compensation or reimbursement of any kind from RIK under any circumstances.

If You do not want to grant to RIK the rights set out above, please do not submit Your contribution to this Website.

NO RESALE OR UNAUTHORIZED COMMERCIAL USE OF SERVICE

You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of the Service (including Your RIK user name and/or password), use of the Service, or access to the Service. You agree not to resell or assign your rights or obligations under these Terms. You also agree not to make any unauthorized commercial use of this Website.

GENERAL PRACTICES REGARDING USE AND STORAGE

You acknowledge that RIK may establish general practices and restrictions concerning use of the Service, including without limitation the maximum number of days that K9 EyeScanSM results, email messages or other information will be retained by the Service, the maximum number of email messages that may be sent from, or received by, an Account on the Service, and the maximum number of times (and the maximum duration for which) You may access the Service in a given period of time. You agree that RIK has no responsibility or liability for the deletion or failure to store any messages and other communications or any other information maintained or transmitted by the Service. You acknowledge that RIK reserves the right to log off Accounts that are inactive for an extended period of time. You further acknowledge that RIK reserves the right to modify these general practices and limits from time to time without notice.

MODIFICATIONS TO SERVICE

RIK reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice to You. You agree that RIK shall not be liable to You or to any third party for any modification, suspension or discontinuance of the Service.

TERM AND TERMINATION

These Terms will remain in full force and effect while You are a User of this Website. RIK reserves the right, at its sole discretion, to pursue all of its legal remedies, including but not limited to removal of Your user content and immediate termination of Your Account  registration with or ability to access this Website and/or any other Services provided to You by RIK, upon any breach by You of these Terms or if RIK is unable to verify or authenticate any information You submit pursuant to this Website’s registration. Even after You are no longer a User of RIK, all provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

You further agree that RIK may, under certain circumstances and without prior notice, immediately terminate Your RIK Account, any associated content, data, K9 EyeScanSM results, and access to the Service. Cause for such termination shall include, but not be limited to, (a) breaches or violations of the Terms or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by You (self-initiated Account deletions), (d) discontinuance or material modification to the Service (or any part thereof), (e) unexpected technical or security issues or problems, (f) extended periods of inactivity, (g) engagement by You in fraudulent or illegal activities, and/or (h) nonpayment of any fees owed by You in connection with the Services. Termination of Your RIK Account includes: (a) removal of access to all offerings within the Service, including but not limited to K9 EyeScanSM; (b) deletion of Your password and all related information, files and content associated with or inside Your Account (or any part thereof); and (c) barring of further use of the Service. Further, You agree that all terminations for cause shall be made at the sole discretion or RIK and that RIK shall not be liable to You or any third party for any termination of Your Account, any associated content, K9 EyeScanSM results, or access to the Service.

DEALINGS WITH ADVERTISERS

Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between You and such advertiser. You agree that RIK shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Service.

LINKS

The Service may provide, or third parties may provide, links to other World Wide Web sites or resources. Because RIK has no control over such sites and resources, You acknowledge and agree that RIK is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any information, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that RIK shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such information, goods or Services available on or through any such site or resource.

RIK'S PROPRIETARY RIGHTS

You acknowledge and agree that the Service and any necessary software used in connection with the Service ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that information contained in sponsor advertisements or information presented to You through the Service or by advertisers is protected by copyrights, trademarks, Service marks, patents or other proprietary rights and laws. Except as expressly authorized by RIK or advertisers, You agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part.

RIK grants You a personal, non-transferable and non-exclusive right and license to use the object code of its Software on a single computer; provided that You do not (and do not allow any third party to) copy, modify, create a derivative work from, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software. You agree not to modify the Software in any manner or form, nor to use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access to the Service. You agree not to access the Service by any means other than through the interface that is provided by RIK for use in accessing the Service.

DISCLAIMER OF WARRANTIES

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. RIK AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

RIK AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS MAKE NO WARRANTY THAT: (i) THE SERVICE WILL MEET YOUR REQUIREMENTS; (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; AND (v) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM RIK OR THROUGH OR FROM THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

A SMALL PERCENTAGE OF USERS MAY EXPERIENCE EPILEPTIC SEIZURES WHEN EXPOSED TO CERTAIN LIGHT PATTERNS OR BACKGROUNDS ON A COMPUTER SCREEN OR WHILE USING THE SERVICE. CERTAIN CONDITIONS MAY INDUCE PREVIOUSLY UNDETECTED EPILEPTIC SYMPTOMS EVEN IN USERS WHO HAVE NO HISTORY OF PRIOR SEIZURES OR EPILEPSY. IF YOU, OR ANYONE IN YOUR FAMILY, HAVE AN EPILEPTIC CONDITION, CONSULT YOUR PHYSICIAN PRIOR TO USING THE SERVICE. IMMEDIATELY DISCONTINUE USE OF THE SERVICE AND CONSULT YOUR PHYSICIAN IF YOU EXPERIENCE ANY OF THE FOLLOWING SYMPTOMS WHILE USING THE SERVICE: DIZZINESS, ALTERED VISION, EYE OR MUSCLE TWITCHES, LOSS OF AWARENESS, DISORIENTATION, ANY INVOLUNTARY MOVEMENT, OR CONVULSIONS.

LIMITATION OF LIABILITY

YOU EXPRESSLY UNDERSTAND AND AGREE THAT RIK AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF RIK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (v) ANY OTHER MATTER RELATING TO THE SERVICE. THESE LIMITATIONS APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, AND EVEN IF RIK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

EXCLUSIONS AND LIMITATIONS

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS OF SECTIONS “DISCLAIMER OF WARRANTIES” AND “LIMITATION OF LIABILITY” MAY NOT APPLY TO YOU.

INDEMNITY

You agree to indemnify and hold RIK and its subsidiaries, affiliates, officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of any information You submit, post, transmit or otherwise make available through the Service, Your use of the Service, Your connection to the Service, Your violation of the TERMS, or Your violation of any rights of another.

NO THIRD-PARTY BENEFICIARIES

You agree that, except as otherwise expressly provided in these Terms, there shall be no third-party beneficiaries to this agreement.

TRADE AND SERVICE MARK RIGHTS

The K9 EyeScanSM, K9 EyeScan logo, the phrase “WE HELP YOU KEEP AN EYE ON PET HEALTH,” and other graphics, logos, designs, page headers, button icons, scripts, and logos, products and Service names are trademarks of RIK Technologies. (the "RIK Marks"). Without RIK’s prior permission, You agree not to display or use in any manner the RIK Marks. The use or misuse of these trademarks or any materials, except as permitted herein, is expressly prohibited, and nothing stated or implied on this Website confers on you any license or right under any patent or trademark of RIK or any third party.

COPYRIGHT NOTICE

All copyright rights in the text, images, photographs, graphics, user interface, and other content provided on this Website, and the selection, coordination, and arrangement of such content ("Content"), are owned by RIK or its third-party licensors to the full extent provided under the United States Copyright Act and all international copyright laws. Any reproduction, copying, or redistribution of the Content for commercial purposes is strictly prohibited without RIK’s prior written consent. DISPUTE RESOLUTION BY ARBITRATION

You agree that any and all disputes, claims or controversies arising out of or relating in any way to www.K9EyeScan.com, these Terms, and/or products or Services you purchase on or through www.K9EyeScan.com (“Claim”) shall be submitted to final, confidential and binding arbitration by a single arbitrator of the American Arbitration Association (“AAA”) in Los Angeles, California, or its successor, applying to the Claims the substantive laws of the State of California. Either You or RIK may commence the arbitration process called for herein by submitting a written demand for arbitration with the AAA one (1) year after such Claim accrues (in the absence of which, the Claim shall be deemed forever waived).

The arbitration will be conducted in accordance with the provisions of the AAA’s Commercial Dispute Resolutions Procedures (“AAA Procedures”) in effect at the time of submission of the demand for arbitration. Arbitration rules and forms may be obtained from the AAA at www.adr.org. The costs of arbitration plus reasonable attorneys’ fees shall be awarded to the prevailing party in such arbitration. Judgment on the award rendered by the arbitrator may be entered in the Superior Court of California, County of Los Angeles, or the United States District Court for the Central District of California.

To the fullest extent permitted by applicable law, any disputes must be arbitrated on an individual basis, and must not be consolidated in any arbitration with any other party, whether through class arbitration proceedings or otherwise.

You further agree that if a dispute arises as to whether or not any dispute, controversy, or claim is subject to the arbitration provision set forth herein, the matter shall be decided by arbitration in the same manner and with the same effect as all other controversies arising under and pursuant to this agreement.

The above obligations to arbitrate shall not prevent a party from seeking a preliminary injunction, temporary restraining order, specific performance or other procedures in a court of competent jurisdiction to obtain interim relief when deemed necessary by such court to preserve the status quo or prevent irreparable injury pending resolution by arbitration of the actual dispute.

THE PARTIES AGREE THAT ANY ARBITRATION, LEGAL ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THIS AGREEMENT MUST BE COMMENCED AND TAKE PLACE IN THE COUNTY OF LOS ANGELES, STATE OF CALIFORNIA.  YOU UNDERSTAND THAT ARBITRATION REPLACES THE RIGHT TO GO TO COURT, INCLUDING THE RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION OR SIMILAR PROCEEDING.  In no case shall You have the right to go to court or have a jury trial.

No Right of Survivorship and Non-Transferability.

You agree that Your RIK Account is non-transferable and any rights to Your RIK user name or contents within Your Account terminates upon Your death. Upon receipt of a copy of a death certificate, Your Account may be terminated and all contents therein permanently deleted.

ENTIRE AGREEMENT

The Terms, together with the Privacy Policy constitutes the entire agreement between You and RIK and governs Your use of the Service, superseding any prior understandings or agreements between You and RIK with respect to the Service, and may not be amended or modified except in writing or by making such amendments or modifications available on this Site. You may also be subject to additional terms and conditions that may apply when You use or purchase certain other RIK services, affiliate services, or third-party services.

Waiver and Severability of Terms.

If any provision of the Terms is found by a court of competent jurisdiction to be invalid, illegal or unenforceable, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the validity, legality and enforceability of the remaining provisions will not in any way be affected or impaired. The failure of RIK to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision.

The section titles in the Terms are for convenience only and have no legal or contractual effect.
